Terms of Service

Effective Date: March 28, 2026

1. Purpose

These Terms of Service ("TOS") govern the access to and use of the "Assistify" B2B SaaS platform published by Nativ Studio ("Assistify", "we", "us"). Assistify provides a customer support solution combining a chat widget, Artificial Intelligence (AI) automations, and various third-party integrations.

2. Account Registration

The B2B Client ("Client", "you") must create an account to access the services. Credentials are strictly personal. The Client is fully responsible for the activities of all its users (team members, agents).

3. Services and Service Level Agreement (SLA)

Assistify provides its services through various pricing plans (Starter, Pro, Business, Enterprise). We strive to maintain a 99% platform uptime; however, the service is provided on an "as-is" basis. Maintenance operations may cause temporary interruptions.

4. Artificial Intelligence Specifics

Assistify uses third-party Large Language Models (LLMs) to generate responses. The specific AI providers may change over time.

No Warranty on Outputs

AI may generate inaccurate content ("hallucinations"). The Client is solely responsible for reviewing and verifying the answers provided by the AI to its visitors.

Model Training

Assistify ensures that data sent to AI providers via their APIs is not used to train their public base models, in compliance with their respective API policies.

5. Financial Terms

Subscriptions are billed in advance (monthly or annually) via our payment processor, Stripe. Exceeding plan limits (AI messages limit, number of sites) will result in service restriction. Assistify reserves the right to suspend account access in the event of non-payment.

6. Intellectual Property

Assistify retains full ownership of the platform, its source code, algorithms, and the chat widget. The Client retains ownership of its data (uploaded documents, knowledge base) and grants Assistify a worldwide, non-exclusive license to vectorize (embed), host, and process this data to provide the service.

7. Limitation of Liability

As a B2B service, Assistify's liability is strictly limited to the amounts paid by the Client in the twelve (12) months preceding the incident. Assistify shall not be liable for any indirect damages, loss of revenue, or disputes between the Client and its end-users.

8. Acceptable Use

The use of Assistify requires compliance with strict rules. It is strictly prohibited to:

  • Illegal Content: Use Assistify to transmit or store content that is illegal, defamatory, obscene, or infringes upon intellectual property rights.
  • Highly Sensitive Data: Upload into the knowledge base health data (HIPAA/HDS), unmasked credit card data (PCI-DSS), or data revealing political/religious opinions, without specific written consent from Assistify.
  • AI Abuse and Spam: Attempt to bypass AI security limitations (prompt injection), or use the tool to generate spam, phishing, or automated disinformation.
  • Overloading: Make abusive requests to our APIs that could compromise the stability of our infrastructure.

Any violation will result in the immediate suspension of the Client account, without refund.

9. Termination

The Client may cancel their subscription at any time. Termination will take effect at the end of the current billing cycle. In case of breach of these TOS, Assistify may suspend or terminate the account without prior notice.

10. Governing Law and Jurisdiction

These TOS shall be governed by the laws of France. Any dispute relating to their interpretation or execution shall be subject to the exclusive jurisdiction of the courts of Paris.
